1. Appointment of Additional Independent Director
Based on the recommendations of the Nomination & Remuneration Committee, the Board of Directors of Latent View Analytics Limited approved via Circular Resolution passed on June 17, 2026 the appointment of Ms. Sudha Sankaran (DIN: 01086489) as an Additional Director (Independent) of the Company. The appointment is effective from June 17, 2026, for a term of 5 consecutive years, subject to shareholder approval.
Ms. Sankaran holds an MBA from Simmons College, USA and is a qualified Chartered Accountant and Cost Accountant. She is not related to any Director of the Company and is not debarred from holding the office of director by virtue of any order of SEBI or any other authority.
2. Cessation of Independent Director
Ms. Dipali Sheth (DIN: 07556685) completed her first term of 5 consecutive years as an Independent Director and ceased to be a Director on the Board of the Company effective from the close of business hours on June 17, 2026. The Board and Management thanked Ms. Sheth for her contributions during her tenure.
3. Reconstitution of Nomination and Remuneration Committee
The Board of Directors, via a Circular Resolution passed on June 17, 2026, approved changes to the Nomination and Remuneration Committee effective immediately:
- Re-designation of Mr. Reed Cundiff as the Chairperson
- Induction of Ms. Sudha Sankaran as a Member
The revised composition of the NRC is as follows:

- Dr. R. Raghuttama Rao (Member, Independent)
- Ms. Sudha Sankaran (Member, Independent)
