Proposed Resolutions and Implications
Ordinary Business:
1. To consider and adopt the Audited Standalone and Consolidated Financial Statements for the financial year ended March 31, 2026, along with reports of Board of Directors and Auditors.
2. To approve and ratify the 1st interim dividend on equity shares @ ₹0.80 per equity share paid for FY 2025-26.
3. To approve and ratify the 2nd interim dividend on equity shares @ ₹1.20 per share for FY 2025-26.

Voting Process and Methods
The Company is providing remote e-voting facility through National Securities Depository Limited (NSDL). The voting process involves:
- Remote e-voting period: Monday, June 29, 2026, at 9:00 A.M. IST to Wednesday, July 1, 2026, at 5:00 P.M. IST
- E-voting on the day of AGM: Available for members who attend through VC/OAVM and haven't voted remotely

Key Voting Information
- The facility for attending the AGM virtually will be available for 1,000 members on first-come-first-served basis (excluding large members with 2%+ shareholding, promoters, institutional investors, etc.)

- Members attending through VC/OAVM shall be counted for quorum under Section 103 of the Companies Act, 2013
- Physical attendance at the meeting venue is not permitted
- Proxy attendance is not available for this VC/OAVM meeting
Scrutinizer's Role and Process
Mr. Y Ravi Prasada Reddy (Membership No. F5783, CP No. 5360), proprietor of M/s RPR & Associates, Company Secretaries, has been appointed as Scrutinizer. His responsibilities include:
- Scrutinizing the remote e-voting process and e-voting at the AGM
- Preparing a consolidated scrutinizer's report of total votes cast for/against, invalid votes
- Submitting the report to the Chairperson within 2 working days from conclusion of AGM
- The scrutinizer will first download votes cast at the AGM and then unblock votes cast through remote e-voting
