Lemon Tree Modifies Krizm Hotels Employee Trust Deed

Trustee changes for Krizm Hotels Pvt. Ltd. Employees Welfare Trust:

Mr. Vikramjit Singh and Mr. Rajiv Tyagi have ceased to be trustees of the Trust
New trustees appointed: Ms. Aradhana Lal, Mr. Naresh Kumar, and Ms. Vibhuti Verma
The Board of Directors resolution effected these changes
The new trustees agreed to act as Trustees and hold trust funds and assets upon the trusts and for the purposes contained in the Trust Deed

The Board of Directors resolved to:

1. Remove Mr. Vikramjit Singh and Mr. Rajiv Tyagi as trustees of the Trust

2. Appoint Ms. Aradhana Lal, Mr. Naresh Kumar, and Ms. Vibhuti Verma as new trustees

3. Amend the Trust Deed to set out certain additional powers of the Trustees

Modification of Trust Deed for Krizm Hotels Pvt. Ltd. Employees Welfare Trust:

Second Addendum executed on October 9, 2026, at New Delhi
Original Trust Deed dated March 16, 2007, amended on September 1, 2017
Trust established for administration of Employees Stock Option Program and holding shares for eligible employees
Additional powers granted to Trustees include:
Sell, transfer, or otherwise dispose of shares or other assets held by the Trust in accordance with applicable laws and ESOP Plans
Repay loans and other forms of financial assistance availed by the Trust from the Company
Apply Trust Fund or Trust Property for employee welfare in accordance with applicable laws
Provide housing, transportation, medical, canteen or other facilities for employee benefit, with or without cost basis
This Addendum forms an integral part of the Original Deed
In case of discrepancy, terms of addendum override original deed
