The Company, Leo Dryfruits & Spices Trading Limited, entered into a Memorandum of Understanding (MOU) for Brand Endorsement with Mr. Sonu Pankaj Sood (popularly known as Mr. Sonu Sood), a renowned Bollywood actor, on October 20, 2026.
Purpose of Arrangement
The MOU is for brand endorsement, advertising, marketing and promotional activities in relation to the Company and/or its brands, including VANDU and MUNCHIN Foods.
Principal Terms of Arrangement

- Brand Endorsement: Scope, duration, deliverables, usage of name and image, approval process and other commercial terms shall be mutually finalized through definitive agreement(s)

- Definitive Agreements: Detailed scope of services, duration, fees, payment arrangements, intellectual property and publicity rights, confidentiality obligations, termination provisions and respective obligations of the parties shall be finalized through definitive agreement(s)
- Timeline: The definitive agreement(s) are expected to be finalized within 90 days from the date of the MOU (October 20, 2026)

- The arrangement is not a related party transaction
- No promoter/promoter group/group companies have any interest in the entity with whom the arrangement is executed
- The Company believes the association with a renowned Bollywood actor will support visibility and promotion of its brands
