Meeting Attendance and Conduct
Seven Directors, including the CEO & MD, the Corporation's Auditors, Secretarial Auditors, and Key Managerial Personnel (KMP) including the Company Secretary, were present. One hundred seventy-six (176) members attended the AGM. Mr. Abdul Gufran, Under Secretary, Department of Financial Services, Ministry of Finance, Government of India, represented the Central Government. The meeting was chaired by Shri R. Doraiswamy, CEO & MD. The live stream was webcast on NSDL's website, and requisite quorum was confirmed.
Business Transacted
The AGM covered seven items of business set for electronic voting, comprising five items of Ordinary Business and two items of Special Business:
Ordinary Business:
1. Adoption of audited standalone financial statements for FY ended March 31, 2026, with Reports of Board and Auditors.
2. Adoption of audited consolidated financial statements for FY ended March 31, 2026, with Report of Auditors.
3. Adoption of the Annual Report for FY ended March 31, 2026.
4. Declaration of a final dividend of ₹10 per equity share (face value ₹10 each) for FY ended March 31, 2026, as recommended by the Board.
5. Appointment of Zonal and Divisional Auditors and fixation of their remuneration.
Special Business:
6. Appointment of Shri Sanjay Lohiya (DIN: 07151125) as a Government Nominee Director.
7. Approval of material related party transactions with LIC Mutual Fund Asset Management Limited ("LIC MF Asset Management").
The Chairperson confirmed there were no qualifications, observations, or comments in the Statutory Auditors' or Secretarial Auditors' Reports for FY 2025-26 on financial transactions or matters adversely affecting the Corporation's functioning.
Voting Process
The remote e-voting period commenced at 09:00 a.m. IST on July 23, 2026, and concluded at 05:00 p.m. IST on July 26, 2026. Smt. Aparna Gadgil (or failing her, Shri S.N. Vishwanathan) of M/s. S.N. Ananthasubramanian & Co., Company Secretaries, was appointed as the Scrutinizer. Members who had not voted remotely could vote during the AGM, with the e-voting facility remaining open for 15 minutes after the meeting concluded.
Shareholder Interaction
Twenty-three out of thirty-five registered speaker shareholders spoke, raising queries and offering suggestions on the Corporation's operations, financial statements, Board Report, and Auditor's Report. Each speaker was allotted a maximum of two minutes. The Chairperson provided a consolidated response to all queries and suggestions.
Results Declaration
The results of the e-voting will be declared by the Company Secretary on or before July 29, 2026, upon receipt of the Scrutinizer's Report, in compliance with Regulation 44(3) of SEBI (LODR) Regulations, 2015. The results will be made available on the websites of the Corporation, BSE Limited, National Stock Exchange of India Limited, and NSDL.
