Annual General Meeting Details

  • The 44th Annual General Meeting (AGM) of the company will be held on Tuesday, 25th August, 2026, at 11:00 AM IST through Video Conferencing (VC)/Other Audio Visual Means (OAVM)
  • Notice of the 44th AGM for the financial year ended 31st March, 2026, will be sent to the stock exchange in due course

Report Approvals

  • Approved the Board Report, Corporate Governance Report, and Management Discussion & Analysis Report for the financial year ended 31st March, 2026

Share Transfer Book Closure and Voting Arrangements

  • The cut-off date for determining members' entitlement to vote at the AGM is fixed as Tuesday, 18th August, 2026, in compliance with Section 108 of the Companies Act, 2013, and Rule 20 of the Companies (Management & Administration) Rules, 2014
  • The e-voting period will begin on Friday, 21st August, 2026, at 9:00 AM and end on Monday, 24th August, 2026, at 5:00 PM

Scrutinizer Appointment

  • M/s. Veenit Pal & Associates, Practicing Company Secretaries (Firm Registration No. S2014MH257800 and Peer Review No. 1433/2021), has been appointed as the scrutinizer to conduct the e-voting process in a fair and transparent manner

Director Reappointment

  • The Board considered and approved the reappointment of Mr. Pradip Kumar Ghosh (DIN: 07799909) as a Non-Executive Director who retires by rotation under Section 152 of the Companies Act, 2013
  • The reappointment is subject to shareholder approval at the 44th AGM to be held on 25th August, 2026
  • Mr. Ghosh has wide experience in the fields of Administration, Accounts, and Taxation
  • He is not related to any other director of the company
  • Based on declarations received, Mr. Ghosh is not debarred from holding the office of director by virtue of any SEBI order or any other authority

The company affirmed that none of the directors are debarred from holding office as per SEBI directions dated 14th June, 2018.
