AGM Proceedings Summary

The 31st Annual General Meeting was conducted in compliance with the Companies Act, 2013 and relevant circulars from MCA and SEBI. Mr. Deepak Gupta, Chairman of the Company, chaired the meeting. The statutory registers and documents were available electronically for inspection. The meeting was held without physical attendance of members, and the requirement of appointing proxies was not applicable.

Resolutions Considered

Ordinary Business:

1. Adoption of Audited Financial Statements (Standalone and Consolidated) for FY 2025-26 ended March 31, 2026

2. Confirmation of Interim Dividend of ₹12 per equity share (already paid during FY26) and declaration of Final Dividend of ₹18 per equity share for FY26

Voting Process

  • Remote e-voting facility was provided through CDSL from August 22, 2026 (9:00 AM) to August 24, 2026 (5:00 PM)
  • E-voting during the meeting was available for members who hadn't voted remotely
  • M/s. Amit Jaste & Associates, Practicing Company Secretary, was appointed as Scrutinizer
  • Voting results will be submitted to stock exchanges within two working days
