Mahindra Logistics Limited held its 19th Annual General Meeting (AGM) on Monday, 20 July 2026. The meeting was conducted through video conferencing/audio-visual means facility in compliance with the Companies Act, 2013, MCA circulars, SEBI regulations, and Secretarial Standards. The deemed venue was the company's Registered Office at Mahindra Towers, P. K. Kurne Chowk, Worli, Mumbai – 400 018.

The AGM commenced at 3:30 p.m. IST and concluded at 5:40 p.m. IST, lasting 2 hours and 10 minutes. A total of 64 members were present through video conferencing, constituting the requisite quorum.

Attendance

All directors of the company were present through video conferencing. The chairpersons of all board committees (Audit, Nomination and Remuneration, Stakeholders' Relationship, Risk Management, Corporate Social Responsibility, Investment, and Rights Issue Committees) were present. Representatives of the Statutory Auditors, Secretarial Auditor, and Scrutiniser were also present throughout the meeting. Company Secretary Jignesh Parikh was present and briefed members on regulatory matters and general instructions.

Proceedings

Dr. Anish Shah, Chairman of the Board, chaired the meeting. The Chairman addressed members with a speech on the year's theme 'Network that Moves India,' providing a macro-economic and industry update, and an overview of the company's financial performance for FY 2025-26. The Managing Director & CEO presented business highlights, company strategy and priorities, key network expansion highlights, PAN-India reach, long-term value drivers related to People & Planet, and the company's vision: 'To be India's No. 1 logistics services provider, delivering superior customer experience through technology-led solutions and a passionate team.'

Voting Process

Members who had not cast votes through remote e-voting were requested to cast votes electronically through NSDL's e-voting platform arranged at the AGM. Registered speakers were offered opportunity to express views or ask questions on resolutions, with the Managing Director & CEO addressing clarifications. The Chairman authorized the Managing Director & CEO, Chief Financial Officer, and Company Secretary to receive the Scrutiniser's Report on combined e-voting results, countersign it, and declare results within prescribed timelines.
