Key Clarifications

A. Intention to Subscribe (Point 3)

Except Mr. Meghraj Sohanlal Jain, Mr. Hardik Meghraj Jain, Ms. Indra Meghraj Jain, Ms. Seema Ajit Jain and Ms. Ritu Jain (Promoter to be categorized), no other members belonging to Promoters, Promoter Group, Directors, Key Managerial Personnel or Senior management have given their intention to subscribe to the preferential issue.

B. Lock-in Period (Point 13)

  • The entire pre-preferential shareholding of the proposed allottees, if any, shall be subject to locked-in from the Relevant Date up to a period of 90 trading days from the date of allotment of Convertible Equity Warrants, in accordance with SEBI ICDR Regulations.
  • The warrants proposed to be allotted shall remain locked-in for a period of one year from the date of their allotment, save as otherwise provided under SEBI ICDR Regulations.

C. Promoter Categorization

Ms. Ritu Jain shall be categorized under the "Promoter" category post allotment of the aforesaid Convertible Equity Warrants.

Additional Information

  • The clarification pertains to the issuance of up to 25,00,000 (Twenty Five Lakh) Convertible Equity Warrants to Promoters as well as Non-Promoters on a preferential basis.
  • These clarifications are to be read in conjunction with the Notice of the 64th Annual General Meeting already circulated to members.
  • Save and except for the aforesaid clarifications, there is no change in the Notice of the 64th Annual General Meeting, including the resolutions proposed therein and other disclosures.
