1. Enhancement of Cash Credit / Working Capital Facility

The Board approved the proposal to approach State Bank of India, SME Branch, Pipariya for enhancement of the existing Cash Credit / Working Capital facility. The enhancement is from the existing sanctioned limit of ₹4.80 Crore to an aggregate limit of up to ₹20.00 Crore, including such sub-limits/facilities as may be sanctioned by the Bank. The Board authorized any one of the Directors of the Company to submit the application/proposal, accept the sanction terms and execute all necessary documents and agreements in connection with the enhanced credit facilities.

2. Resignation of Company Secretary and Compliance Officer

The Board considered and accepted the resignation of Mrs. Nalini Kankani, Company Secretary and Compliance Officer of the Company. The resignation is effective from 1st September, 2026. The resignation was submitted due to personal reasons, as stated in her resignation letter dated August 26, 2026. Mrs. Kankani confirmed there are no other material reasons for her resignation and will provide assistance for a smooth transition.

3. Appointment of Company Secretary and Compliance Officer

The Board approved the appointment of Mr. Dalchand Raghuvanshi as the Company Secretary and Compliance Officer of the Company with effect from 1st September, 2026. This appointment was made on the recommendation of the Nomination and Remuneration Committee to fill the casual vacancy caused by the resignation. Mr. Raghuvanshi is a qualified Company Secretary and an Associate Member of the Institute of Company Secretaries of India (ICSI Membership No. A81469). He is not related to any of the Directors of the Company.

4. Investment in Wholly Owned Subsidiary

The Board approved an investment of up to ₹2.00 Crore (Rupees Two Crore only) in Shri Krishnam Industries Private Limited, which is the wholly owned subsidiary of the Company. The investment will be made by way of subscription to/acquisition of equity shares, subject to applicable statutory and regulatory requirements.

5. Increase in Remuneration of Chief Financial Officer

The Board approved the revision/increase in the salary/remuneration of Mr. Aman Agrawal, Chief Financial Officer of the Company. The increase is effective from 1st September, 2026 on such terms and conditions as approved by the Board, subject to applicable provisions of the Companies Act, 2013, SEBI (LODR) Regulations, 2015 and other applicable laws.
