Attendance and Leadership

All Directors and Key Managerial Personnel attended the meeting. Mr. Sandip Omprakash Agrawal, Director of the Company, chaired the meeting and conducted the proceedings.

Voting Arrangements

The company provided remote e-voting facilities through M/s. XL Softech Systems Limited, Hyderabad. The remote e-voting period commenced on Thursday, August 27, 2026, at 09:00 A.M. (IST) and concluded on Saturday, August 29, 2026, at 05:00 P.M. (IST). Ms. Lucky Bansal, Proprietor of Bansal & Company, Practising Company Secretaries, was appointed as the Scrutinizer for the voting process.

Business Transacted

Two ordinary resolutions were passed at the meeting:

1. Resolution 1: To receive, consider and adopt:

  • The Audited Standalone Financial Statements of the Company for the Financial Year ended March 31, 2025 together with the Report of the Board of Directors and the Auditors thereon
  • The Audited Consolidated Financial Statements of the Company for the Financial Year ended March 31, 2025 together with the Report of the Auditors thereon

2. Resolution 2: Re-Appointment of Mr. Sandeep Agarwal (DIN: 06873744), Director of the Company liable to retire by rotation

Additional Facilities

  • Shareholders were provided facility to inspect Statutory Registers and other documents as mentioned in the Notice of the AGM
  • Members could send questions/queries in advance to the email address mentioned in the Notice
  • Shareholders present at the AGM who had not cast votes electronically were provided opportunity to cast votes during the meeting
  • Voting was also conducted by show of hands (physically)
