  • The Board approved his appointment as an Independent Director for a term of five (5) years effective 16th September 2026, subject to the approval of the shareholders of the Company.
  • Mr. Rajiv Gupta is a seasoned professional with over 35 years of extensive experience in the power and renewable energy sector, including long standing leadership roles within the NTPC Group.
  • He has served as Chief Executive Officer of NTPC Green Energy Limited and NTPC Renewable Energy Limited, where he was instrumental in driving strategic initiatives, expanding renewable energy capacity, and ensuring operational efficiency across projects.
  • He has held senior positions such as Chief General Manager and General Manager at NTPC Limited, handling complex assignments involving planning, systems development, and implementation of key policies in the power sector.
  • He is currently working as a Consultant with Advance Corporate Advisory Private Limited, advising on matters relating to energy, infrastructure, and corporate governance.
  • He is not related to any Director of the Company and satisfies the criteria of independence prescribed under the Companies Act, 2013, and SEBI Listing Regulations.
  • He is not debarred from holding the office of Director by virtue of any SEBI order or any other such authority.

Transformer Repair Offer:

The document also includes an offer sheet from Chief Engineer (O&M-I) WBSETCL, Vidyut Bhavan, Kolkata dated 16.09.2026 for repairing estimates of a Marsons Make 630 kVA, 33/0.415 kV Station Service Transformer (Year of Manufacture: 2008, Serial No: 82078) received at the factory premises of M/s Marsons Limited.
