Ordinary Business
1. To receive, consider and adopt audited Standalone and Consolidated Financial Statements of the Company for the financial year ended March 31, 2026 and the Reports of the Board of Directors and the Auditors thereon.
2. To declare a Final Dividend of ₹0.75 per Equity Share (i.e., 7.5% on face value of ₹10 each) for the financial year ended March 31, 2026.
3. To appoint a director in place of Mrs. Darshana Pandya (DIN: 07610402), who retires by rotation and offers herself for re-appointment.
Special Business
4. Approval for increasing Borrowing Powers under Section 180(1)(c) of the Companies Act, 2013 up to ₹15,000,00,00,000 (Indian Rupees Fifteen Thousand Crore). This supersedes the limit of ₹13,500 crore approved at the 30th AGM.
5. Approval for enhancing the limit for creation of charges, mortgages, hypothecation on the immovable and/or movable properties of the Company under section 180(1)(a) of the Companies Act, 2013, also up to a limit of ₹15,000,00,00,000 (Indian Rupees Fifteen Thousand Crore).
Dividend and Tax Information
The dividend declared is subject to Tax Deducted at Source (TDS) as per the provisions of the Income Tax Act, 2025. Unclaimed dividends for a consecutive period of 7 years are liable to be transferred to the Investor Education and Protection Fund (IEPF), along with the underlying shares.
