Max Earth Resources Limited has made a disclosure pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 regarding changes in the position of Company Secretary and Compliance Officer.

The Board of Directors, in their meeting held on November 06, 2026, approved two key resolutions:

  • Appointment of Mrs. Shefali Gupta as Company Secretary and Compliance Officer of the Company
  • Acceptance of resignation of Ms. Tripti Gupta as Company Secretary and Compliance Officer of the Company

Appointment Details - Mrs. Shefali Gupta

Mrs. Shefali Gupta has been appointed as Company Secretary and Compliance Officer with effect from November 07, 2026. She is an Associate Member of ICSI (Membership No. A76128) with professional experience in corporate secretarial services and legal compliance.

Her professional background includes serving as Assistant Manager at Amruta Giradkar & Associates, where she handled SEBI compliances, drafting and filing applications with Stock Exchanges for listing of shares, and managing various corporate governance activities including company incorporations, share transfers, and NCLT-related filings.

She has practical experience in handling Rights Issues, including preparation and filing of requisite applications with Stock Exchanges, as well as filing applications for reclassification of Promoters into the Public Category under applicable SEBI regulations. She has also been involved in preparing and filing applications and regulatory submissions relating to changes in management.

During her professional training with CS Amit Rajkotiya, she gained exposure to mergers and amalgamations, XBRL filings, corporate restructuring and legal documentation. She possesses practical knowledge of the Companies Act, 2013, SEBI regulations and other applicable regulatory frameworks.

Resignation Details - Ms. Tripti Gupta

Ms. Tripti Gupta resigned from the position of Company Secretary and Compliance Officer with effect from November 06, 2026.

The disclosure includes Annexure A (for appointment) and Annexure B (for resignation) as required under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with circular No. CIR/CFD/CMD/4/2015 dated 9th September 2015 and Master Circular No SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11th November, 2024.
