Mr. Dhiraj Aroraa, EVP - Company Secretary and Compliance Officer, welcomed members and confirmed the meeting was conducted per regulatory circulars. A webcast of the proceedings was available on the company's website. Notice of the AGM and the Integrated Annual Report for FY 2025-26 were sent electronically to members and made available on the websites of the company, its RTA (MUFG Intime India Private Limited), BSE, and NSE.

Mr. Abhay Soi, Chairman and Managing Director, chaired the meeting. He addressed shareholders, highlighting the company's strong operational and financial performance in FY 2025–26. Key points from his address included:

  • The company's inclusion in the NIFTY 50 Index and recognition for workplace culture and governance.
  • Commitment to supporting India's development vision (Viksit Bharat 2047) through accessible, affordable healthcare.
  • Expansion updates: commissioning of new towers at Max Hospital, Mohali; Nanavati Max Hospital, Mumbai; and Max Smart Hospital, Saket (Delhi).
  • Acquisition of a 58.28% stake in Kalinga Hospital Limited (now Max Super Speciality Hospital, Bhubaneswar) after the financial year-end, strengthening presence in eastern India.
  • A strong pipeline of expansion projects aimed at nearly doubling bed capacity over the next five years.
  • Continued investments in advanced medical technology, digital transformation, robotic-assisted surgery, AI solutions, medical education, research, environmental stewardship, and community health initiatives.

Mr. Aroraa confirmed the company complied with all applicable laws, rules, regulations, guidelines, and standards for FY 2025-26. There were no qualifications, reservations, or adverse remarks in the Statutory Auditor's Report or Secretarial Auditor's Report that could have a material adverse effect on the company's functioning.

Business Transacted

The following items of business from the Notice of AGM were transacted:

Ordinary Business:

1. Adoption of Audited Standalone Financial Statements for the financial year 2025-26 (Ordinary Resolution).

2. Adoption of Audited Consolidated Financial Statements for the financial year 2025-26 (Ordinary Resolution).

3. Declaration of a Final Dividend of ₹2 (i.e., 20% of face value) per equity share of face value ₹10 each (Ordinary Resolution).

4. Re-appointment of Mr. Anil Kumar Bhatnagar as a Director, liable to retire by rotation (Special Resolution).

Special Business:

5. Approval of remuneration payable to Non-Executive Directors (including Independent Directors) of the Company (Ordinary Resolution).

6. Re-appointment of Mr. Anil Kumar Bhatnagar as a Non-Executive and Non-Independent Director of the Company (Special Resolution).

7. Approval for shifting the registered office of the Company from the 'State of Maharashtra' to the 'State of Haryana' and consequent alteration in the Memorandum of Association (Special Resolution).

8. Ratification of remuneration payable to Cost Auditors for the financial year 2026-27 (Ordinary Resolution).

Q&A and Conclusion

A Q&A session was held where speaker shareholders raised queries, which were addressed by the Chairman and Senior Management. Some members complimented the company's performance.

Members were reminded that they could cast votes during the meeting and for 15 minutes thereafter using the InstaVote platform. The consolidated results of the remote e-voting and e-voting during the AGM will be announced within stipulated timelines and submitted to the stock exchanges and uploaded on the company's website and the e-voting service provider's (MUFG Intime India Private Limited) website.
