Issue of Bonus Equity Shares

The Board approved the issuance of bonus equity shares in the ratio of 1:1. This means one bonus equity share of face value ₹10 each for every one fully paid-up equity share of face value ₹10 each held by members as on the record date.

The bonus shares will be issued by capitalizing a sum not exceeding ₹5,40,00,000 (Rupees Five Crore Forty Lakh Only) from the company's retained earnings. This issuance is subject to approval by the company's members.

The record date for determining entitlement of members will be announced in due course.

Capital Structure Impact (Pre and Post Bonus Issue)

  • Authorized Share Capital: Pre-bonus: ₹6,00,00,000 (60,00,000 shares of ₹10 each). Post-bonus: ₹12,00,00,000 (1,20,00,000 shares of ₹10 each)
  • Paid-up Share Capital: Pre-bonus: ₹5,40,00,000 (54,00,000 shares). Post-bonus: ₹10,80,00,000 (1,08,00,000 shares)

Financial Basis for Bonus Issue

The bonus shares will be issued from retained earnings (free reserves) as per the audited financial statements for the year ended March 31, 2026. The available retained earnings stand at ₹1,518.49 lakh. These figures are audited but subject to approval by members in the ensuing Annual General Meeting.

Timeline for Implementation

The bonus shares are estimated to be credited/dispatched within two months from the date of Board approval, i.e., on or before September 6, 2026.

Alteration to Memorandum of Association

The Board also approved alteration to Capital Clause (Clause 5) of the Memorandum of Association to increase the authorized share capital from ₹6,00,00,000 (Rupees Six Crore Only) to ₹12,00,00,000 (Rupees Twelve Crore Only). This alteration is subject to approval by the company's members.
