Meeting Details
The 31st Annual General Meeting of the members of MBL Infrastructure Ltd. was held on Saturday, 12th September 2026, commencing at 3:00 P.M. and concluding at 4:10 P.M. The meeting was conducted through Video Conferencing/ Other Audio Visual Means (VC/OAVM) facility, in accordance with circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India (SEBI). The Registered Office of the company, Baani Corporate One, 308, 3rd Floor, Plot No. 5, Commercial Centre, Jasola, New Delhi, was deemed the venue of the AGM.
Proposed Resolutions and Implications
The following six items of business, as set out in the AGM notice dated 11th August 2026, were considered:
1. To consider and adopt the Audited Standalone Financial Statements for the financial year ended 31st March 2026 and the Reports of the Board of Directors and Auditors thereon.
2. To consider and adopt the Audited Consolidated Financial Statements for the financial year ended 31st March 2026 and the Report of Auditors thereon.
3. To appoint a director in place of Mr. Anjanee Kumar Lakhotia (DIN: 00357695), who retires by rotation and offered himself for re-appointment.
4. To consider and approve the remuneration payable to Mr. Anjanee Kumar Lakhotia (DIN: 00357695) as Managing Director for his remaining tenure of 2 years, effective from 25th May 2027.
5. To consider and approve the re-appointment of Mr. Surender Aggarwal (DIN: 07272927) as an Executive Director/Whole Time Director, liable to retire by rotation, for a period from 1st October 2026 to 30th September 2027.
6. To consider and approve the execution of Transactions with Related Parties pursuant to Section 188 of the Companies Act, 2013 and SEBI LODR Regulations.
7. To ratify the remuneration payable to M/s Dipak Lal & Associates, Cost Auditors of the company, for the financial year 2026-27.
Voting Process
The company provided a remote e-voting facility on the NSDL e-voting platform from Wednesday, 9th September 2026 (9:00 a.m.) to Friday, 11th September 2026 (5:00 p.m.). An electronic voting facility was also activated and made available during the meeting on the NSDL platform for members who had not cast their votes via remote e-voting.
Scrutinizer's Role
Ms. Anjali Yadav, Practising Company Secretary, was appointed as the Scrutinizer to scrutinize both the remote e-voting process and the voting during the AGM in a fair and transparent manner.
Key Meeting Proceedings and Compliance
- The meeting was chaired by Mr. Anjanee Kumar Lakhotia, Chairman & Managing Director. Mr. Ram Dayal Modi, Independent Director, chaired the proceedings for specific resolutions concerning Mr. Lakhotia.
- The Company Secretary, Mr. Anubhav Maheshwari, confirmed that the requisite quorum under the Companies Act, 2013, was present.
- The Statutory Auditors' Report (dated 30th May 2026) and Secretarial Auditor Report (dated 27th May 2026) were noted as containing no qualifications, observations, or comments.

- The meeting was declared compliant with the Companies Act, 2013, and relevant SEBI regulations.
