The final consideration is subject to adjustments for the value of current assets and current liabilities as on the date of execution of the definitive agreement for sale, upon completion of due diligence.

4. Buyer Details: The buyer is Jaynath Tea Estate (PAN: AAWFJ9126G), with its registered office at Makum Road, Opposite FCI Godown, P.O. & P.S. – Tinsukia, Assam - 786125. The buyer does not belong to the promoter/promoter group or group companies of McLeod Russel.

5. Related Party Transaction: The proposed transaction does not constitute a Related Party Transaction.

6. Regulatory Context: The disposal is part of a debt restructuring plan. NARCL acting through IDRCL approved the restructuring of the company's debt and this subsequent sale via a Sanction Letter dated 2nd April, 2026.

7. Pending Approvals: The company is in the process of obtaining requisite shareholder approval in compliance with Regulation 37A of SEBI LODR, 2015, read with Section 180(1)(a) and other applicable provisions of the Companies Act, 2013, and any other statutory approvals that may be required.
