Assignment Details
Khona Tea Estate LLP (original purchaser under MOU dated 27th April 2026) has assigned and transferred all its rights, responsibilities, title, interest, benefits and entitlements under the MOU to Rupajuli Tea Estate LLP. The assignment covers:
- Rights under Memorandum of Understanding dated 27th April 2026
- Proposed acquisition of specified assets of Rupajuli Tea Estate
- Assignment of leasehold rights in respect of the land comprised in the estate
New Purchaser Obligations
Rupajuli Tea Estate LLP shall assume and perform all obligations and responsibilities of the Purchaser under the MOU, subject to the original terms and conditions.
Management Relationship
It is confirmed that both Khona Tea Estate LLP and Rupajuli Tea Estate LLP are under the same management and control. The assignment was made for convenience and administrative ease to facilitate implementation and successful completion of the transaction.
Commercial Terms Impact
The assignment does not alter the commercial understanding and principal terms agreed under the original MOU. Except for the substitution of the Purchaser from Khona Tea Estate LLP to Rupajuli Tea Estate LLP, all terms and conditions remain unchanged and binding on all parties.

McLeod Russel India Limited has acknowledged and consented to the assignment.
