Approval Details

Shareholders of Mehai Technology Limited approved the alteration of the Memorandum of Association via special resolution through e-voting held via postal ballot on May 8, 2026. The changes were made in compliance with the Companies Act, 2013 and were subject to approval from the Registrar of Companies, Kolkata, which has been obtained.

Specific Changes to Memorandum of Association

Main Object Clause III(A) Amendments:

1. Clause III(A)(2) Replacement: The existing clause has been replaced with expanded business objects covering:

  • Consultancy, application development, and maintenance services in industrial automation and allied activities
  • Engineering, architectural, and Geographic Information System (GIS) solutions
  • IT and IT-enabled services (ITES) across various industries in India and abroad
  • Design, development, implementation, trading, and maintenance of software products and IT solutions including web-based systems, portals, client-server applications, customized software, multimedia, and graphics
  • Provision of integrated ICT solutions including information, communication, network, decision support, office automation, process control, and e-commerce systems
  • Acting as product vendor, reseller, system integrator, service provider, consultant, trainer, recruiter, and supplier of skilled manpower

2. New Clauses Added after III(A)(7):

  • Clause (8): Business of trading, recycling, importing, exporting, buying, selling, storing, transporting, distributing, and processing all kinds of petroleum and hydrocarbon products including crude oil, fuels, lubricants, bitumen, petrochemicals, natural gas, LPG, LNG, CNG, and derivatives. Also includes trading in coal, coke, lignite, charcoal, pet coke, and other solid fuels, plus recycling of environmentally compliant used oils, petroleum waste, and chemical waste.
  • Clause (9): Business of trading, importing, exporting, buying, selling, and distributing all kinds of pharmaceutical, medicinal, and healthcare products.
  • Clause (10): Business of processing grains including establishment and operation of mills, preserving, packaging, food processing, storing, transporting, importing, exporting, buying, and selling various grains and grain-based products such as rice, cereals, pulses, and ready-to-eat products. Includes setting up rice and grain mills for processing paddy and other grains with by-products.
Additional Object Clause III(B) Amendment:

3. New Clause 23 after III(B)(22): Business of manufacturing, processing, importing, exporting, buying, selling and dealing in artificial teeth, dental prosthetics, dentures, crowns, bridges, implants and all kinds of dental and oral care products, materials and equipment, either directly or through subsidiaries.
