Mena Mani Industries Limited disclosed a material event regarding alteration of the company's Memorandum of Association. The Board of Directors in their meeting held on 26th August, 2026 approved the insertion of a new object clause in the Main Object Clause of the Memorandum of Association, subject to approval of members.

The new object clause III [A] (8) authorizes the company to engage in hospitality, tourism, and wellness-related businesses including:

  • Purchase, development, construction, erection, acquisition, equipment, operation, maintenance, and management of hotels, resorts, motels, clubs, tourism centers, restaurants, conventions, and wayside amenities
  • Operation of guest houses, day-care centers, adult day-care centers, senior citizen care centers, rehabilitation centers, service apartments, recovery and convalescence centers
  • Wellness centers, health and fitness centers, spas, therapeutic and recreational facilities, holiday homes, villas, lodges, guest houses, homestays
  • Restaurants, cafes, bars, clubs, lounges, banquet halls, convention and exhibition centers, food courts and catering establishments
  • Provision of amusements, recreation, sport and entertainments for the public
  • Tie-up arrangements with hotel chains, hospitality chains and eating houses chains in India and abroad

The disclosure is made pursuant to Regulation 30 and Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January, 2026.

The Board Meeting commenced at 5:00 p.m. and concluded at 6:30 p.m. on 26th August, 2026.
