The Board of Directors had proposed the Postal Ballot at its meeting held on Monday, May 4, 2026. The process was conducted pursuant to Section 108 and 110 of the Companies Act, 2013, read with relevant rules and SEBI regulations, including General Circular No. 03/2025 dated September 22, 2025, issued by the Ministry of Corporate Affairs.
National Securities Depository Limited (NSDL) was appointed as the agency to provide the e-voting platform. The cut-off date for members eligible to vote was Tuesday, May 5, 2026. The Postal Ballot Notice was dispatched via email to members on Wednesday, May 6, 2026, and a newspaper advertisement was published on Thursday, May 7, 2026.
The remote e-voting period commenced on Thursday, May 7, 2026, at 9:00 a.m. IST and concluded on Friday, June 5, 2026, at 5:00 p.m. IST. Ms. Riddhi Krunal Shah (ACS No. 20168, COP No. 17035), a Practicing Company Secretary, was appointed as the Scrutinizer for the process at a Board meeting held on August 28, 2025.
The Scrutinizer submitted her report, and the results were declared on June 5, 2026. The deemed date of the passing of the resolutions is the last date of the closure of the e-voting process, i.e., June 5, 2026. All three resolutions set out in the Postal Ballot Notice were passed with the requisite majority.
The following special business matters were approved:
- Resolution 1: Alteration of the Articles of Association of the Company.
- Resolution 2: Approval of the Meta Infotech Limited ESOP Scheme 2026.
- Resolution 3: Approval for the issue of not more than 5% of the paid-up share capital as on March 31, 2026. This translates to up to 944,070 options under the ESOP scheme over a period of 5 years to Mr. Ambrish Deshpande, COO/CRO.
