Key Transaction Details
On September 07, 2026, the Board of Directors of Metropolis Quality Solutions Private Limited (MQSPL), a wholly-owned subsidiary of Metropolis Healthcare Limited (MHL), approved and entered into two agreements:
1. Share Subscription Agreement with Medsource Ozone Biomedicals Private Limited (Medsource) and Dr. Puneet Kumar Nigam
2. Shareholder's Agreement (SHA) with Medsource, MHL and Dr. Puneet Kumar Nigam
Purpose and Rationale
The restructuring is intended to consolidate and streamline the External Quality Assessment Services Business under MQSPL by bringing together operational leadership, clinical/diagnostic backing, R&D, and product development capabilities required to scale the business.
Financial Investment Details
- Medsource investment: Approximately ₹1.10 crore
- Dr. Puneet Kumar Nigam investment: Approximately ₹16 lakh
Governance and Rights
MHL and Medsource shall have the right to nominate Directors on the Board of MQSPL, subject to the terms of the SHA. The SHA defines protective/reserved matters along with clearly defined roles, responsibilities, rights and obligations of each party.
Shareholding Structure Change
Currently, MQSPL is a wholly owned subsidiary of MHL. Post-transaction and subject to fulfillment of applicable terms and conditions governing conversion (in tranches over 5 years) of the 10,000 Optionally Convertible Redeemable Preference Shares issued to Dr. Puneet Kumar Nigam, the shareholding structure of MQSPL on a fully diluted basis will be:
- MHL: 54.90%
- Medsource: 30.60%
- Dr. Puneet Kumar Nigam: 14.50%
Impact on Parent Company
There will be no change in the shareholding pattern of Metropolis Healthcare Limited (MHL) pursuant to this proposed transaction.
