Shareholder Communication & Annual Report Access
In accordance with Regulation 30 and 36(1)(b) of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, the company has dispatched physical letters to shareholders whose email addresses are not registered with the company, its Registrar and Share Transfer Agent (RTA), or their Depository Participants. The letter provides a weblink (www.modisonltd.com/investors/modison-annual-report) from which shareholders can access the Annual Report for the Financial Year 2025–26 and the Notice of the 43rd Annual General Meeting (AGM).
The AGM is scheduled for Tuesday, July 21, 2026, at 5:30 P.M. (IST) to be held through Video Conferencing (VC) / Other Audio-Visual Means (OAVM).
Shareholders holding shares in physical or dematerialized form as of the cut-off date, Tuesday, July 14, 2026, are entitled to vote. The remote e-voting facility will be open from Friday, July 17, 2026, at 9:00 A.M. (IST) until Monday, July 20, 2026, at 5:00 P.M. (IST). Mrs. Ragini Kamal Chokshi of M/s. Ragini Chokshi & Co., Practicing Company Secretaries, was appointed as the Scrutinizer for the voting process.
Dividend Declaration
The Board of Directors, at their meeting held on Friday, May 22, 2026, recommended a final dividend of Rs. 3.00 per equity share of face value Rs. 1.00 each (300%) for FY 2025-26. This is subject to approval by shareholders at the 43rd AGM.
The record date for determining members eligible to receive this dividend is Tuesday, July 14, 2026. If declared, the final dividend will be paid within 7 days of the AGM, subject to TDS deduction.
Book Closure
The Register of Members and Share Transfer Books of the Company will remain closed from Wednesday, July 15, 2026, to Tuesday, July 21, 2026 (both days inclusive) for the purpose of the AGM and for the payment of the final dividend.
