Samvardhana Motherson International Limited has submitted a regulatory disclosure regarding the approval of share capital reduction for its subsidiary Motherson Technology Services Limited (MTSL).
The matter follows previous disclosures made on August 29, 2025 and October 16, 2025 regarding MTSL's process for reduction of share capital under Section 66 and other applicable provisions of the Companies Act, 2013.
The Hon'ble National Company Law Tribunal, Mumbai Bench-III listed the matter for pronouncement on August 13, 2026 and has approved the reduction of share capital of MTSL. The detailed order will be disseminated once available on the NCLT portal.
Upon receipt of the certified copy of the order, necessary compliances will be undertaken. The capital reduction will result in MTSL (along with its subsidiaries) becoming wholly-owned subsidiaries of Samvardhana Motherson International Limited once it becomes effective.
