Motherson Receives Court Approval for Yutaka Giken Acquisition

Transaction Details

Samvardhana Motherson International Limited, through its indirect wholly owned subsidiary Motherson Global Investments B.V. (MGI BV), is acquiring 81% stakes with voting rights in Yutaka Giken Co., Ltd. (YGCL) and 11% stake in Shinnichi Kogyo Co., Ltd. (Shinnichi). YGCL is a Japanese company incorporated under Japanese laws and was listed on Tokyo Stock Exchange. Shinnichi is a subsidiary of YGCL with 62% ownership held by YGCL.

Status Update

The Voluntary Sale Permission Decision from the competent court was received on July 17, 2026. Payment for the fractional share transfer shall be completed in accordance with the definitive agreements executed in respect of the Transaction.
