2. Appointment of Whole Time Director & Key Managerial Personnel (KMP)

  • Based on the recommendation of the Nomination and Remuneration Committee, the Board approved the appointment of Mr. Kunal Kapoor (DIN: 06568920) as Whole Time Director & Key Managerial Personnel of the Company.
  • The appointment is effective from August 13, 2026.
  • The term of the appointment is 3 (Three) consecutive years.
  • The appointment is subject to the approval of the shareholders of the Company.
  • Brief Profile (from Annexure-2): Mr. Kunal Kapoor is a graduate with over 16 years of experience in the real estate sector. He began his career in 2009 and was associated with Investor Clinic from 2009 to 2015, gaining experience in real estate marketing, customer relationship management, business development, and sales operations. He joined MPDL Limited on September 15, 2017, and has since been associated with the Company in various managerial and operational capacities, involved in day-to-day business operations and administration.
  • Relationship between Directors: Mr. Kunal Kapoor is not related to any Director of the Company.
  • Declaration: A declaration pursuant to BSE Circular No. List/Comp/14/2018-19 dated June 20, 2018, confirms that Mr. Kunal Kapoor is not debarred from accessing the capital market and/or restrained from holding the position of Director in any listed company by virtue of any SEBI Order or any other authority.
