Meeting Proceedings

The Company Secretary welcomed members and explained the VC/OAVM participation process. Participation was limited to the first 1,000 members on a first-come-first-served basis, with certain categories (promoters, institutional investors, directors, KMPs, auditors, committee chairpersons) entitled to attend without restriction.

Chairman Rahul Arora delivered a message to shareholders highlighting FY26 as the most profitable year in company history with key financial metrics:

  • EBITDA: Approximately INR 236 crore
  • EBITDA Margin: 30.7%
  • Profit After Tax growth: 16.3%
  • Earnings Per Share: INR 102.11 (record high)
  • Return on Capital Employed: 38.2%
  • Research business growth: Approximately 17%
  • Education business growth: Nearly 29%

The Chairman noted the acquisition of Unbound Medicine and consolidation of three corporate learning businesses under one global brand. No final dividend was recommended for FY26 as capital was deployed for the Unbound Medicine acquisition and other opportunities under evaluation. The company has returned more than ₹650 crore to shareholders over the preceding eight years.

The Auditors' Reports (Statutory and Secretarial) for FY26 were taken as read as they contained no qualifications, observations, or adverse comments. Shareholder queries were addressed by the Chairman and CFO.

Voting Process

Remote e-voting was available from Tuesday, 01 September 2026 to Thursday, 03 September 2026. Cut-off date for voting eligibility was Friday, 28 August 2026. Mr. R. Sridharan was appointed as Scrutinizer. Results will be declared within two working days and submitted to stock exchanges.
