Proposed Resolutions and Implications
Seven resolutions were considered and passed at the meeting:

Scrutinizer's Role and Findings
CS Uttam Baral was appointed as Scrutinizer for the e-voting process. The Scrutinizer's report dated 31.08.2026 confirmed that all resolutions were passed with requisite majority. The final results were communicated to stock exchanges and uploaded on the company's website and Bigshare's website on 31.08.2026 within statutory timelines.
Compliance with Laws and Regulations
The meeting was conducted in conformity with regulatory provisions and circulars issued by the Ministry of Corporate Affairs, Government of India and SEBI. The company complied with Section 145 of the Companies Act, 2013 by reading out qualifying remarks from Secretarial Auditors and C&AG's Supplementary Audit Report along with management's explanations.
Additional Information
The company declared a final dividend of Re. 1 per equity share, payable to shareholders whose names appeared in the list of beneficial owners as at the end of business hours on 24.08.2026. The total dividend for FY 2025-26 amounted to ₹11.50 per share including interim dividends of ₹10.50 per share already paid in three tranches.
