Narmada Agrobase Limited has disclosed the results of a postal ballot process conducted to seek shareholder approval for altering the objects of its previously conducted rights issue.

The company sought approval through a special resolution for "Alteration/Variation in the Objects of the Rights Issue for utilization of funds out of the net proceeds of the issue of fully paid-up equity shares of the Company by modifying the objects of the issue as stated in the Letter of Offer dated 17th September, 2024."

The postal ballot process was conducted through remote e-voting via National Securities Depository Limited (NSDL) from Tuesday, 30th June, 2026 at 09:00 A.M. (IST) to Wednesday, 29th July, 2026 at 05:00 P.M. (IST). The cut-off date for determining shareholder eligibility to vote was 26th June, 2026.

Voting Results

The resolution was approved with requisite majority on 29th July, 2026 (deemed date of approval of members). The detailed voting results are:

  • Votes in Favor: 228,857,75 shares (99.955% of total valid votes cast)
  • Votes Against: 12.05 shares (0.055% of total valid votes cast)
  • Invalid Votes: 0 shares

The scrutinizer, Punit Santoshkumar Lath (Practicing Company Secretary, M. No. 26238), certified that the voting was conducted in a fair and transparent manner and that the resolution passed with requisite majority.

The disclosure is made pursuant to Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015. The company has submitted the scrutinizer's report dated 30th July, 2026 and voting results to both National Stock Exchange of India Limited and BSE Limited.
