Key Decisions Approved

1. Rights Issue Approval

The Board of Directors approved the issuance of fully paid-up equity shares of face value ₹2 each through a rights issue to raise up to ₹1,300 crore (Rupees One Thousand and Three Hundred Crore only). The rights issue will be offered to eligible equity shareholders as on a record date to be determined subsequently. The total number of Rights Equity Shares to be issued will be determined upon finalization of the issue price and rights entitlement ratio. The issuance is subject to applicable laws including SEBI ICDR Regulations and requires regulatory and statutory approvals.

2. Fund-Raising Committee Constitution

The Board constituted a Fund-Raising Committee with the following members to execute the rights issue:

  • Sri V.C. Nannapaneni (Chairman)
  • Sri Rajeev Nannapaneni (Member)
  • Sri P.S.R.K. Prasad (Member)

The committee was delegated necessary powers to give effect to the Rights Issue.

3. Draft Letter of Offer Approval

The Board approved the Draft Letter of Offer for the Rights Issue, prepared in accordance with the Companies Act, 2013, SEBI ICDR Regulations, and other applicable laws.

4. Update on Scheme of Arrangement (Demerger)

The disclosure provides an update on the scheme of arrangement between Natco Pharma Limited (Demerged Company) and Natco Crop Health Sciences Limited (Resulting Company) under Sections 230-232 of the Companies Act, 2013.

  • The Scheme was previously submitted to Stock Exchanges under Regulation 37 of SEBI LODR Regulations
  • The Company has received Observation Letters from both stock exchanges
  • The Scheme has not yet been filed with the National Company Law Tribunal

5. Impact of Rights Issue on Demerger Scheme

The proposed rights issue is expected to change the Company's capital structure and shareholding pattern, requiring necessary changes to the Demerger Scheme. The Board decided to consequentially make necessary changes to the Scheme appropriately after completion of the Rights Issue. The purpose is to maintain the share swap ratio in the revised Scheme the same as proposed in the original Scheme for which Observation Letters were received. The Company will make appropriate filings of the revised Scheme with Stock Exchanges after completion of the Rights Issue.
