The Board inter alia approved the following matters:
- Notice of the 51st Annual General Meeting to be held on Friday, August 28, 2026, at 11:30 AM through video conference.
- Annual Report including Director's Report and all annexures including Secretarial Audit Report and Independent Auditor's Report.
- Book closure dates from Saturday, August 22, 2026, to Friday, August 28, 2026.
- Appointment of CDSL as intermediaries for e-voting at the ensuing Annual General Meeting.
- Appointment of M/S Lakshmmi Subramanian & Associates as scrutinizers for e-voting purposes.
- Adoption of a new set of Memorandum of Association and Articles of Association as per the Companies Act, 2013, with detailed disclosures in annexures.
- Sale/Transfer/Disposal of certain assets as a whole in the SIPCOT Perundurai unit, subject to approval of shareholders. Detailed disclosure as per circular will be uploaded post-shareholder approval.
- Sale/Transfer/Disposal of Plant and Machinery (Liquid Unit) in the Pondicherry unit, subject to approval of shareholders. Detailed disclosure as per circular will be uploaded post-shareholder approval.
Annexure Details
Annexure A - Memorandum of Association Update
The Board approved adopting a completely new Memorandum of Association to align with the Companies Act, 2013, replacing the existing MOA framed under the Companies Act, 1956. This change requires approval by special resolution at the Annual General Meeting on August 28, 2026, and subsequent approval by the Registrar of Companies.
Annexure B - Articles of Association Update
The Board approved adopting a completely new set of Articles of Association structured as per Table F under Schedule I of the Companies Act, 2013, replacing the existing AOA framed under the Companies Act, 1956. This change requires approval by special resolution at the Annual General Meeting on August 28, 2026.
The disclosure is made in compliance with Regulation 30 of the Listing Regulations read with SEBI Circular SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023.
