The 31st AGM is scheduled for Tuesday, September 29, 2026 at 3:30 PM (IST) through Video Conferencing (VC)/Other Audio Visual Means (OAVM). The remote e-voting period commences on Saturday, September 26, 2026 (10:00 AM) and ends on Monday, September 28, 2026 (05:00 PM). The cut-off date for determining members entitled to vote is Tuesday, September 22, 2026. Book closure dates are from Wednesday, September 23, 2026 to Tuesday, September 29, 2026 (both days inclusive).
Central Depository Services (India) Limited (CDSL) provides e-voting services under EVSN-260903062. CS Ghanshyam Soni, Practicing Company Secretary (CP No. 17876 & Membership No. 12019) of M/s Ghanshyam Soni & Associates has been appointed as Scrutinizer to scrutinize the e-voting process.

Mr. Aditya Sharma (DIN: 08718848): 34 years old, Bachelor of Engineering in Mechanical Engineering, first appointed as Additional Independent Director on June 30, 2021, regularized at AGM on September 25, 2021. Entitled to sitting fees only. Holds independent directorships in Ashoka Refineries Limited and New Era Alkaloids Limited.
Mr. Mansoor Ahmed (DIN: 01398796): 65 years old, Graduate, appointed as director on April 1, 2000 and as Managing Director on August 11, 2023. Has voluntarily agreed to waive and forego remuneration entitlement (maximum ₹5,00,000 per annum) due to company's financial position. Father of Mr. Hifzul Rahim. Holds directorships in New Era Alkaloids & Exports Limited and Ashoka Refineries Limited.
Auditor Information
M/s Batra Deepak and Associates resigned effective September 1, 2026 due to pre-occupation with other professional commitments. M/s KCMG & Associates, Chartered Accountants (Firm Registration No.: 009518C) is proposed as replacement. The firm is a Peer Reviewed Firm holding valid Peer Review Certificate No. 016718 valid up to April 30, 2027 issued by ICAI.
Shareholder Information and Procedures
The notice along with Annual Report for FY 2025-26 is being sent electronically to members with registered email IDs. Physical copies available on request. Documents referred to in the notice available for inspection at registered office from September 22-29, 2026 during business hours.
Members must update KYC details including PAN, contact details, mobile number, bank account details, and signature by September 19, 2026. SEBI mandates that listed companies issue securities only in demat mode with immediate effect.
Virtual Meeting Details
The AGM will be conducted through VC/OAVM facility provided by CDSL. Members can join 15 minutes before scheduled time. Facility available for at least 1000 members on first-come-first-served basis, excluding large shareholders (holding 2% or more), promoters, institutional investors, directors, KMPs, committee chairpersons, and auditors.
