Scrutinizer's Role and Findings

CS Sandhya R. Malhotra, Partner of M/s. Manish Ghia & Associates, Company Secretaries, Mumbai, was appointed as the Scrutinizer to scrutinize the entire voting process. The Scrutinizer's report confirms that the voting was conducted in a fair and transparent manner. The data from CDSL was unblocked in the presence of independent witnesses, Ms. Sneha Yadav and Ms. Amruta Zeple, who are not in the employment of the Company. The shareholding was matched with the Register of Members/List of Beneficiaries as of the cut-off date. The Scrutinizer concluded that both resolutions were passed with the requisite majority.

The Company confirmed compliance with the provisions of Section 108 of the Companies Act, 2013, Rule 20 of the Companies (Management and Administration) Rules, 2014, SEBI Listing Regulations, and relevant circulars issued by the Ministry of Corporate Affairs and SEBI. Advertisements regarding the AGM and the provision of the e-voting facility were published in the Financial Express (English) and Loksatta (Marathi) newspapers on September 3, 2026, and September 4, 2026.
