Nazara Technologies Acquires 1.36% Stake in Rusk Media

Nazara Technologies Limited has completed the acquisition of 1,278 Pre Series C Compulsorily Convertible Preference Shares (Pre Series C CCPS) of Rusk Media Private Limited. Each share has a face value of ₹10. The total subscription amount paid by Nazara Technologies was ₹14,98,99,176 (approximately ₹14.99 crore).

This acquisition represents 1.36% of the share capital of Rusk Media Private Limited on a fully diluted basis. Following this allotment, Nazara Technologies' total shareholding in Rusk Media has increased to 7.62% of its share capital on a fully diluted basis.

The transaction was executed pursuant to a Share Subscription Agreement dated March 30, 2026, involving the Company and Rusk Media Private Limited. The allotment was formally intimated to Nazara Technologies on May 28, 2026.
