NCLT Ahmedabad approves the Scheme of Amalgamation for Gopalaya Build Estate, Adani Transmission Step-Five, and Halvad Transmission, effective 1st April 2025.
The amalgamation is an internal group restructuring to streamline operations and consolidate subsidiaries under Adani Energy Solutions.
The Tribunal dispensed with all shareholder and creditor meetings as the scheme involves no compromise on debts and all stakeholders provided consent.
Post-amalgamation, the Transferee Company, Halvad Transmission, is projected to have a significant excess of assets over liabilities of over Rs. 21,031 crore.
