NCLT Hyderabad allows BirlaNu Ltd's petition to amalgamate its wholly-owned subsidiary Clean Coats Pvt Ltd without shareholder meetings.
The scheme, effective from November 2025, will dissolve Clean Coats and transfer all assets/liabilities to BirlaNu without share issuance.
Tribunal dispensed with meetings of BirlaNu's equity shareholders, secured and unsecured creditors citing no prejudice to rights.
The amalgamation aims to achieve operational synergies, simplified management, and cost efficiencies across both manufacturing entities.
