Scheme of Amalgamation
The Hon'ble National Company Law Tribunal (NCLT), Ahmedabad Bench, has sanctioned the Scheme of Amalgamation of J. B. Chemicals & Pharmaceuticals Limited (the "Transferor Company") with Torrent Pharmaceuticals Limited (the "Transferee Company") and their respective shareholders. The sanction was granted vide the Tribunal's order dated July 6, 2026.
The Scheme was approved under the provisions of Sections 230 to 232 and other applicable provisions of the Companies Act, 2013.
The Scheme will become effective upon the filing of the certified copy of the NCLT order with the Registrar of Companies. The company will inform the stock exchanges of the effective date in due course, after the Scheme becomes effective.
