NCLT Chennai approves application for convening shareholder and creditor meetings for a composite scheme of amalgamation between Siemens Gamesa Renewable Energy Projects Pvt Ltd and Siemens Gamesa Renewable Power Pvt Ltd.
The scheme involves a significant capital reduction for the Transferee Company from ₹45,829 crore to ₹4.58 crore and an allotment of 293 new shares for every 100 old shares held in Transferor Company 2.
Meetings for equity shareholders and unsecured creditors of both companies are ordered to be held on 22nd August 2026 to seek approval for the arrangement under Sections 230-232 of the Companies Act, 2013.
