NCLT Kochi Approves ABC Group Amalgamation Scheme

NCLT Kochi approves first-stage application for amalgamation of ABC Imports and Exports India Pvt Ltd and ABC Buildwares India Pvt Ltd into ABC Group India Pvt Ltd.
The scheme, with an Appointed Date of 01.04.2025, aims to consolidate business, reduce costs, and achieve economies of scale.
Tribunal directs convening of shareholder and creditor meetings for all three companies within 45 days to approve the scheme.
Notices must be served to RBI, MCA, tax authorities, and other statutory regulators due to issuance of shares to non-residents.
