Subsidiary Details

Nephrocare Health Services International Pte. Ltd. ("NHSI"), Singapore, an overseas wholly-owned subsidiary of the Company, incorporated a new overseas wholly-owned subsidiary in Kazakhstan under the name NEPHROPLUS HEALTH SERVICES KAZAKHSTAN Limited Liability Partnership (LLP) ("NPHSK LLP") on May 26, 2026. The incorporation was completed in accordance with the applicable laws of Kazakhstan.

Corporate Structure

NPHSK LLP has become a step-down overseas wholly-owned subsidiary of Nephrocare Health Services Limited. The immediate holding company is Nephrocare Health Services International Pte. Ltd. (Registration No. 201904925M), a company incorporated in Singapore and an overseas wholly-owned subsidiary of the Company.

Business Objectives

NPHSK LLP has been incorporated with the objective of undertaking holding and management activities to expand its kidney care and dialysis services network in Kazakhstan. The subsidiary will engage in all activities incidental or ancillary thereto, including:

  • Establishment and operation of dialysis centres
  • Procurement of medical equipment and consumables
  • Provision of comprehensive patient care and related healthcare services

Regulatory Approvals

NPHSK LLP was incorporated in accordance with the Laws of the Republic of Kazakhstan. No additional special governmental or regulatory approvals were required for incorporation beyond standard registration under Kazakhstani law. Specific regulatory/licensing approvals will be obtained as and when required for undertaking any regulated activities.

Financial Details

The incorporation involved cash consideration. The charter capital of NPHSK LLP is KZT 5,000,000 (Kazakhstani Tenge Five Million only), contributed in cash by its participants. The total charter capital subscribed is KZT 5,000,000, approximately USD 10,500 at the applicable exchange rate.

Ownership Structure

Nephrocare Health Services International Pte. Ltd. holds 99% of the charter capital. The remaining 1% is held by Mr. Nishant Saxena as a nominee on behalf of Nephrocare Health Services International Pte. Ltd. Accordingly, the Company effectively controls 100% of the step-down wholly-owned subsidiary.
