Overseas Subsidiary Asset Acquisition

Nephrocare Health Care Services, Philippines Inc., an overseas step-down wholly-owned subsidiary of Nephrocare Health Services Limited, has entered into an Asset Transfer Agreement (ATA) dated June 22, 2026 with Pag-Asa Dialysis And Diagnostic Center for the acquisition of identified assets relating to a dialysis center located at Magsaysay St., Poblacion, Ipil, Zamboanga Sibugay, Philippines.
The total consideration for the acquisition is PhP 80,640,000 (Eighty Million Six Hundred Forty Thousand Pesos only), subject to the terms and conditions set out in the agreement.
The transaction involves the acquisition of dialysis center assets pursuant to the Asset Transfer Agreement, in accordance with and subject to the terms and conditions stipulated therein.
There are no special rights such as right to appoint directors, first right to share subscription, or right to restrict any change in capital structure as per the agreements.
The Purchaser is an overseas step-down wholly owned subsidiary of Nephrocare Health Services Limited, while the Seller (Pag-Asa Dialysis And Diagnostic Center) is not related to the promoter/promoter group/group companies. The transaction does not fall within related party transactions and is done at arm's length.
The disclosure is made pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026.
