The agreement is for the acquisition of identified assets relating to a dialysis center located in Davao City, 8000 Davao City Davao Del Sur Philippines. The total consideration for the acquisition is PhP 71,800,000 (Philippine Pesos Seventy-One Million Eight Hundred Thousand Pesos Only), subject to the terms and conditions set out in the agreement.

The Purchaser is an overseas step-down wholly-owned subsidiary of the Company. The Seller, Juan Nephro Dialysis Center, is not related to the promoter/promoter group/group companies. The transaction does not fall within related party transactions and is confirmed to be done at arm's length. There are no special rights as per the agreements, such as rights to appoint directors, first right to share subscription, or rights to restrict changes in capital structure.
