Correction of Clerical Error

A clarification was issued to correct a clerical error in a previous disclosure. The financial year for the Secretarial Audit conducted by M/s. Ramesh Chandra Bagdi & Associates was incorrectly mentioned as 2026-27. The correct financial year is 2025-26. A revised outcome was filed for this correction.

Warrant Conversion and Share Allotment

The Board of Directors, at its meeting held on Saturday, July 4, 2026 (commencing at 1:00 PM and concluding at 1:30 PM), approved the conversion of 53,00,000 warrants into an equal number of equity shares. The conversion was done at par value (₹10 per share) on a preferential allotment basis to the following allottees, who exercised their conversion rights:

The company received in-principle approval from BSE Limited for this preferential issue vide its letter no. LOD/PREF/SV/FIP/3274/2022-23 dated October 20, 2025.

Appointment of Secretarial Auditor

The Board approved the appointment of M/s. Ramesh Chandra Bagdi & Associates (Firm Registration No. S2021MP835800) as the Secretarial Auditor of the company. The appointment is for conducting the Secretarial Audit for the Financial Year 2025-26, pursuant to Section 204 of the Companies Act, 2013 and Regulation 24A of the SEBI (LODR) Regulations, 2015.
