NIIT Learning Systems Canada Subsidiary Capital Restructuring

NIIT Learning Solutions (Canada) Ltd (NIIT Canada) is a wholly owned subsidiary of NIIT (Ireland) Limited and a step-down subsidiary of NIIT Learning Systems Limited.
The restructuring was prompted by NIIT Canada successfully completing a large training contract in the real estate sector in September 2025.
Post-completion, the size of operations and capital requirements have commensurately reduced.
The existing capital of NIIT Canada is CAD 9,197,260, represented by 9,197,260 common shares of par value CAD 1 each.
The net worth of NIIT Canada was CAD 11.05 million as of March 31, 2026.
As of March 31, 2026, NIIT Canada had cash and bank balances of CAD 9.9 million, which materially exceeds the requirement of its current scale of operations.
NIIT Ireland, as sole shareholder, approved the restructuring of share capital by reducing the par value of issued and outstanding common shares by an aggregate amount of CAD 5,058,493.00, as permitted by British Columbia law.
This amount is to be returned to NIIT (Ireland) Limited.

Post-restructuring, the share capital of NIIT Canada will reduce to CAD 4,138,767.
This will be represented by the same 9,197,260 common shares, but with a reduced par value of CAD 0.45 each.

The decision is not expected to have any adverse or material impact on the financials of these subsidiaries or the consolidated financials of NIIT Learning Systems Limited.
NIIT Canada will continue to remain a wholly owned subsidiary of NIIT Ireland and a step-down subsidiary of the Company.

There will be no change in the shareholding pattern of any entity. NIIT Canada remains wholly owned.
No benefit to the promoter/promoter group/group companies is indicated from this restructuring.
