The Board of Directors, at its meeting held on August 12, 2026, recommended the appointment of Mr. Anand Kumar (DIN: 03194060) as a Non-Executive, Non-Independent Director of the company. The recommendation was made based on the suggestion of the Nomination & Remuneration Committee (NRC).
Mr. Anand Kumar, aged 65 years, is a retired Indian Administrative Service (IAS) officer from the Kerala cadre (1984 batch). His educational qualifications include an M.Sc. and M.Phil. (with distinction) from the University of Delhi, an MBA from the University of Queensland, Australia, and an LL.B. from Chaudhary Charan Singh University, Meerut.
His extensive career includes serving as District Collector and Magistrate of Idukki and Kozhikode districts in Kerala, and holding several important positions in the Government of India. Key career highlights include:
- Managing relief camps on the Iraq–Amman border and coordinating repatriation of Indian nationals during the Kuwait–Iraq War in 1990
- Playing a significant role in strengthening Kerala's tourism infrastructure and promotion, including establishment of the Institute of Tourism and Travel Management and District Tourism Promotion Councils
- Association with the conceptualization and launch of the "God's Own Country" campaign and promotion of houseboat tourism in Kerala
- Serving as Deputy Election Commissioner and successfully conducting the Bihar Legislative Assembly Elections in 2005
- Serving as Chief Technical Adviser for the Nigerian General Elections 2007 under the United Nations Development Programme (UNDP)
- Conceptualizing the international tourism campaign "Find What You Seek" (recipient of the Golden Gate Award in Berlin) and domestic campaign "Go Beyond" as Joint Secretary in the Ministry of Tourism
- Formulating India's first Port Privatisation Policy and founding the National Highways and Infrastructure Development Corporation Limited (NHIDCL), serving as its first Managing Director
- Serving as Secretary to the Government of India in the Ministry of New and Renewable Energy and the Ministry of Culture
- Serving as Chairman of the Real Estate Regulatory Authorities (RERA) of Delhi and Chandigarh
The appointment is subject to approval by shareholders at the ensuing 33rd Annual General Meeting of the Company, scheduled to be held on September 29, 2026. Mr. Kumar will be liable to retire by rotation.
The Nomination and Remuneration Committee and the Board verified that Mr. Kumar is not debarred from holding the office of Director pursuant to any order of MCA/SEBI or other authorities. He is not related to any Director on the Board or Key Managerial Personnel of the Company.
