National Securities Depository Limited (NSDL) has convened its 14th Annual General Meeting (AGM) to be held on Tuesday, September 22, 2026, at 11:30 A.M. (IST) through Video Conferencing (VC) / Other Audio-Visual Means (OAVM). The deemed venue of the AGM is the Registered Office of the Company at 301, 3rd Floor, Naman Chambers, G Block, Plot No. C-32, Bandra Kurla Complex, Bandra (East), Mumbai - 400051.
Cut-off Dates and Voting Information
The cut-off date for determining eligibility for remote e-voting and e-voting during the AGM is Tuesday, September 15, 2026.
The remote e-voting period starts on Friday, September 18, 2026, at 9:00 A.M. and ends on Monday, September 21, 2026, at 5:00 P.M.
The Register of Members and Share Transfer Books will remain closed from Saturday, September 12, 2026, to Monday, September 21, 2026 (both days inclusive).
Business to be Transacted
Ordinary Business:
1. Adoption of Financial Statements: To consider and adopt the Audited Standalone and Consolidated Financial Statements for the Financial Year ended March 31, 2026, together with Reports of the Board of Directors and Auditors.
2. Declaration of Final Dividend: To declare a final dividend of ₹4 per equity share of face value ₹2 each (200%) for the financial year ended March 31, 2026. The record date for dividend payment is Friday, September 11, 2026. Dividend will be directly credited to shareholders' bank accounts registered with depositories.
3. Re-appointment of Director: To consider and approve the re-appointment of Mr. Sriram Krishnan (DIN 07816879) as Non-Independent Director who retires by rotation. Mr. Krishnan was first appointed on August 23, 2023, and is currently Chief Business Development Officer at NSE.
Special Business:
4. Appointment of Executive Director - Vertical 1: To approve the appointment of Mr. Subhash Kelkar (DIN: 10188009) as Executive Director for Vertical 1 (Critical Operations) for a period of five years effective from July 02, 2026.
- Compensation: Total ₹3.25 crore per annum comprising fixed pay of ₹2.4375 crore (75%) and Performance Linked Incentive (PLI) of ₹0.8125 crore (25%)
- Terms: Fixed pay to PLI ratio of 75:25, 50% of variable PLI paid on deferred basis after minimum 3 years subject to malus and claw-back arrangements
- Benefits: Insurance cover (Mediclaim, Term, Accident), PF, Superannuation, Gratuity, leave encashment, corporate club membership, entertainment expense reimbursement
- Notice Period: 3 months from either side
- SEBI approval received vide letter dated May 25, 2026
5. Appointment of Executive Director - Vertical 2: To approve the appointment of Mr. Ankit Sharma (DIN: 10496270) as Executive Director for Vertical 2 (Regulatory, Compliance, Risk Management & Investor Grievance) for a period of five years effective from date of joining.
- Compensation: Total ₹3.25 crore per annum comprising fixed pay of ₹2.4375 crore (75%) and PLI of ₹0.8125 crore (25%)
- Sign-on Bonus: ₹49.18 lakh payable on joining or immediately subsequent month for car purchase reimbursement, repayable if employment ceases within 12 months
- Terms: Same compensation structure as Mr. Kelkar with identical benefits and conditions
- SEBI approval received vide letter dated May 25, 2026

Mr. Sriram Krishnan: 54 years, Chartered Accountant and Cost & Management Accountant with 30+ years experience in banking and capital markets. Currently Chief Business Development Officer at NSE. Holds directorships in NAL Academy Limited, India International Depository IFSC Limited, NSE Investments Limited, Cogencis Information Services Limited, NSE Indices Limited, NSE IFSC Limited, and National Coal Exchange of India Limited.
Mr. Subhash Kelkar: 58 years, B.Tech and Post Graduate Diploma in Software Technology. Former Chief Technology Officer at BSE with 33 years experience in market infrastructure technology. Previously Chief Technology & Digital Officer at ICICI Securities.
Mr. Ankit Sharma: 57 years, MBA and B.Sc. Currently Chief Regulatory Officer - Listing & Investor Compliance at NSE with 30+ years experience. Previously Head - Compliance & Legal at ICICI Securities (2021-2023).
Dividend Taxation
As per Finance Act 2020, dividend income is taxable in the hands of shareholders effective April 1, 2020, at applicable rates. The company is not required to pay Dividend Distribution Tax (DDT).

The Notice and Annual Report are available on the company's website (https://nsdl.com) and BSE website (www.bseindia.com). Members can request hard copies by email to cs-depository@nsdl.com. Unclaimed dividends after seven years will be transferred to Investor Education and Protection Fund (IEPF).

Shareholders can vote remotely through NSDL e-Voting platform (https://www.evoting.nsdl.com) during the specified period or during the AGM. Detailed voting instructions are provided for demat and physical shareholders.
Results Declaration
The voting results will be declared within 48 hours of conclusion of the AGM and placed on the company website and BSE website.
