The 31st Annual General Meeting will be held on Thursday, September 24, 2026 at 11:00 A.M. (IST) through Video Conferencing (VC) / Other Audio-Visual Means (OAVM). The proceedings shall be deemed to be conducted at the Corporate Office of the Company situated at 707 to 713, Corporate Centre, Nirmal Lifestyle, LBS Road, Mulund West, Mumbai – 400080, Maharashtra, India.
Proposed Resolutions and Implications
Ordinary Business:
Item No. 1 - Adoption of Financial Statements:
- Resolution to adopt audited financial statements of the Company for FY ended March 31, 2026 and reports of Board of Directors and Auditors
- Resolution to adopt audited consolidated financial statements for FY ended March 31, 2026 and report of Auditors
Item No. 2 - Re-appointment of Mr. Sanjiv Prabhashankar Joshi (DIN: 00410437) as Executive Director liable to retire by rotation. He drew remuneration of ₹19,17,200 during FY 2025-26 and seeks reappointment with maximum remuneration up to ₹2,00,00,000.
Item No. 3 - Re-appointment of Mr. Kamesh Rahul Joshi (DIN: 01436934) as Executive Director liable to retire by rotation. He drew remuneration of ₹1,04,78,251 during FY 2025-26 and seeks reappointment with maximum remuneration up to ₹2,00,00,000. He holds 24,05,340 shares in the Company.
Special Business:
Item No. 4 - Appointment of M/s. Nitin R Joshi as Secretarial Auditors for five consecutive years from FY 2026-27 to FY 2030-31 at remuneration of ₹1,50,000 plus applicable taxes and out-of-pocket expenses for FY 2026-27. The firm is a Peer Reviewed Company Secretary in Practice (Peer Review Certificate no. 1557/2021, Certificate of Practice No. 1884, Membership No FCS 3137).
Voting Process and Methods
The Company is providing remote e-voting facility through National Securities Depository Limited (NSDL):
- Remote e-voting period: Monday, September 21, 2026 at 9:00 A.M. to Wednesday, September 23, 2026 at 5:00 P.M.
- Cut-off date for voting eligibility: Friday, September 11, 2026
- E-voting methods: Multiple login options provided for shareholders holding shares in demat mode (NSDL/CDSL) and physical mode
- Scrutinizer: Mr. Nitin R Joshi appointed to scrutinize the e-voting process
Key Voting Outcomes Process
The Scrutinizer shall within 2 working days of conclusion of the meeting submit a consolidated scrutinizer report of the total votes cast in favor or against to the Chairman. The results along with the Scrutinizer's Report shall be placed on the website of the Company and on the website of NSDL and shall be communicated to BSE Limited and National Stock Exchange of India Limited.
