Resolution 1: Borrowing Limit Enhancement

  • Seeks to enhance borrowing limit under Section 180(1)(c) of Companies Act, 2013

  • Proposed new limit: ₹1000 crore (₹1,000 Crore)

  • Security may be created on movable/immovable properties, tangible/intangible assets, present/future undertakings
  • In favor of lenders, agents, trustees, banks, financial institutions
  • To secure borrowings up to the approved limit of ₹1000 crore
  • Includes security for interest, additional interest, compound interest, liquidated damages, commitment charges, premium on prepayment/redemption, costs, charges, expenses

  • Company is engaged in Engineering, Procurement and Construction (EPC) business
  • Operates in project-based environment with substantial fund deployment requirements
  • Working capital needs depend on project tenure, size, number of projects, contract terms, procurement requirements
  • Requires participation in government and private sector tenders
  • Needs to furnish various bank guarantees (bid security, performance, advance payment guarantees)
  • Growing scale of operations and future business requirements necessitate higher borrowing capacity
