Use of Proceeds

Seventy‑five percent of the capital raised will be transferred to Si Creva Capital Services Private Limited, the wholly‑owned subsidiary of OnEMI, to provide Kissht with greater financial flexibility for scaling its lending business, strengthening technology and digital capabilities, expanding product offerings and deepening its reach across target customer segments. The remaining twenty‑five percent will be allocated to general corporate purposes to support Kissht’s broader growth strategy within India’s digital financial services ecosystem.

Strategic Outlook

Kissht intends to pursue multiple credit‑rating upgrades over the next two years, leveraging the strengthened capital base. The company expects that higher ratings will lower its cost of borrowing, broaden access to diversified capital, increase funding capacity, improve margins and profitability, and enable scaling of lending without compromising credit discipline.

Regulatory Framework

The preferential issue will be conducted in accordance with the Companies Act, 2013, Chapter V of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, and other applicable SEBI regulations and laws.
